Advantages and Disadvantages of a Limited Liability Company (LLC ...

Limited Liability Company is a hybrid business entity having some features of a corporation, a partnership or sole proprietorship business. It is more of an association than a corporation. It is seen that many people choose the Limited Liability Company as their form of business, mainly because of the ease in set up and operation. It is more preferable for a single owner.

Main Difference from other forms of Business

The main difference of a Limited Liability Company, from other forms of Business are:

i) The only point an LLC differs from Sole proprietorship is that in case of an LLC, the owners are not open to personal liability.

ii) LLC differs from Partnership with the fact that it does not subject the owners to the consequences of bad legal or financial decisions by one partner.

iii) LLC differs from a Corporation where it does not have double taxation on profits.

Advantages of Limited Liability Company

Some of the advantages of starting an LLC are as follows:

  • Limited Liability Companies, much like corporation, provide protection for their owners. If the organization has debts that it cannot pay, the individual owners will not be held responsible for those debts. If the organization has to file bankruptcy the individual owners are still not personally responsible for any of the liabilities that the organization has.
  • Owners can choose to have profits distributed anyway they would like. This means, whatever percentage of profits they want to give to each member, they have the flexibility to do so.
  • Reduction in paperwork, tedious meetings and note-taking that are required by corporate entities are not required by an LLC. There are no board meetings or quarterly meetings required. There are no quarterly or semi-annual reports that are necessary for the IRS.
  • There is no double taxation. There is no need to pay taxes on corporate profits, as well as on profits that pass to members. You only pay taxes once, and that is on those profits that are given to individual members.

Disadvantages of Limited Liability Company

Following are the disadvantages of starting a Limited Liability Company:

  • Longevity of the company is based on the life of the members. The company will dissolve if a member goes bankrupt or passes away.
  • ?This is not the best form of business to set up, if you are planning on distributing shares later to shareholders. It is not the best business entity to set up if you are planning on going public.
  • New challenges may be encountered, in terms of the way that the organization files taxes. The LLC can be designated as other kinds of business entities when it comes to completing tax returns, such as, a corporation, partnership or sole proprietorship. Of course selecting the sole proprietorship format would be the easiest to complete, but you may not have a choice. This status may be automatically selected for you. Check with your tax advisor to be sure.

Apple drops patent claim against Samsung Galaxy S3 Mini

The Samsung Galaxy S3 Mini will not be involved in the next round of the never-ending Apple vs Samsung patent war.

The little brother of the flagship Galaxy S3 had been named alongside a host of Samsung devices which, according to Cupertino, infringe Apple's intellectual property.

The warring companies had been asked to present their lists of disputed devices as they gear up for a second trial in California, scheduled to begin in March 2014.

As the Galaxy S3 Mini is not being sold in the United States, Apple has sportingly agreed to strike it from the list.

Round two

However, it's not as if Samsung will be doing cartwheels about the news. Apple's list still includes the Galaxy S3, Galaxy Note 2, Galaxy Tab 8.9, Galaxy Tab 2 10.1 and Rugby Pro devices.

Apple also reserves the right to reinsert the S3 Mini if Samsung decides to launch it Stateside.

The second trial, which follows Apple's crushing victory this summer, will also hear Samsung's claims about the iPhone 5.

UFC 155 is only a day away. It's time for picks from Yahoo! Sports' columnist Kevin Iole, Cagewriter editor Maggie Hendricks, and Cagereaders who posted their picks on Facebook.

Kevin Iole: Junior dos Santos W5 Cain Velasquez -- I can't believe I'm picking against Velasquez. To me, he is in many ways the perfect heavyweight, with great conditioning, great wrestling and tremendous power. But how do we ignore what dos Santos has done? Much was made of Velasquez's knee injury before their first fight, but what isn't as well known is that Junior had a bad leg, too, and couldn't do much. It's going to be a dogfight, but I think Junior finds a way to pull it out.

Maggie Hendricks: Cain Velasquez W5 Junior dos Santos -- Velasquez was injured in his last bout with JDS. With a healthy knee, he'll get to use his wrestling to control and beat on JDS for five rounds.

Cagereaders: Couldn't ask for a better way to end the year than this rematch. This will last longer than the first but not by much. I'm picking Cigano by KO R1. Cain has amazing wrestling and ground and pound. However, I think Junior is the guy that has his number and things won't go as planned for Cain. Velasquez will come out more aggressive than the first fight and that will spell the end. Junior will rock him with some brutal counters causing Cain to shoot in for the take down. Junior will stuff the attempt and finish the fight with an uppercut around 3 minutes into the first. -- Jackson Torres

Kevin Iole: Joe Lauzon W3 Jim Miller -- Definitely will be the Fight of the Night in my opinion (is there any other kind of fight for Lauzon?) I don't think Joe will be able to submit Jim, but he is so active and works so hard I think he'll pile up the points to win.

Maggie Hendricks: Joe Lauzon Sub2 Jim Miller -- Lauzon's submission game is tough to beat. He will need to avoid Miller's well-rounded game, but can do it.

Cagereaders: My two favorite 155 pound fighters. When I saw Miller step in for Maynard, my heart sank. I'm going to see one them lose, and it looks to be J-Lau. Miller matches up really well for Lauzon's style. He has power in his punches and solid wrestling, backed up with a serious ground game and outstanding cardio. Joe has a killer instinct and a more dangerous ground game. Still, I like Miller taking this fought by a UD. -- Tom Hogan

Kevin Iole: Tim Boetsch W3 Costas Philippou -- Boetsch will grind out a victory by controlling the distance and limiting Philippou's power

Maggie Hendricks: Tim Boetsch W3 Costa Phillippou -- Ditto on what Kevin said. Boetsch won't make it a thrilling fight, but it will be a convincing win.

Cagereaders: Boetsch over Phillipou by 3rd Round TKO -- I think this fight will be back to forth, I have counted out Tim Boetsch in many fights just to be shocked, from the poor decision in the Lombard fight, to the amazing knock out of Okami, I think Phillipou gets the better of him early in the fight, while Boetsch owns the latter part of the fight, this could easily be fight of the night and if it does go decision, it will be close, but I see Phillipou gassing late and Boetsch taking advantage. -- Daniel Ryan

Maggie Hendricks: Alan Belcher W3 Yushin Okami -- With title shot hopes hanging over him, Belcher has good reason to fight a smart game and come out with a win over Okami.

Cagereaders: Yushin Okami will beat Alan Belcher by decision. Okami will go back to what made him successful before his fight with Anderson Silva. He will use his jab and height, keeping Belcher back, then take him down for ground and pound. This will continue for 3 full rounds and Okami will come out with the unanimous decision. -- Marcus Min

Kevin Iole: Chris Leben TKO3 Derek Brunson -- This is a big fight for Leben, and I think he knows it. I expect him to eventually catch Brunson with something big that will end it.

Maggie Hendricks: Derek Brunson W3 Chris Leben -- In his first fight after a long layoff, Leben will have a hard time dealing with a wrestler with power like Brunson.

Cagereaders: Derek Brunson should be able to defeat Chris Leben by decision because he has a great wrestling background and Chris Leben may not be in the best shape coming off a 13-month layoff. -- Edgar Diaz

Think you opened all your holiday cards this year? Here's another -- from Iron Man, or at least the superhero Avenger's real identity, billionaire Tony Stark.

The card, showing Stark (Robert Downey Jr., in the role he was born to play) standing out in a snowy field, possibly about to catch snowflakes on his tongue, was tweeted out the day after Christmas from the official account set up for Stark.

Movie blog Cinema Blend points out that "Iron Man 3" writer/director Shane Black seems to love Christmas themes. Four of his screenplays, including "Lethal Weapon," were set during that holiday season, and "Iron Man 3" footage shown at Comic Con shows Stark enjoying Run DMC's 1987 single "Christmas in Hollis."

Stark isn't wearing his armor in the snowy shot because, according to the trailer, it's become non-functional.

"Iron Man 3" opens May 3, and features Stark battling well-known comic-book villain The Mandarin (Ben Kingsley). Gwyneth Paltrow returns as love interest Pepper Potts and Don Cheadle is back as Stark's best friend Col. James Rhodes, aka War Machine.

India gang rape: why women are needed as justice officials

Mass protests in India after a vicious gang rape of a female student help put a spotlight on countries that need to have more women police and judges. Antirape laws are not enough.

On paper, women today have far more legal protections than 50 years ago. More than half of the world?s countries have written gender equality into their constitutions. But the brutal rape of a female student in India has thrown a global spotlight on the need to put legal norms for women into practice.

For two weeks after the gang rape on Dec. 16, thousands of Indians have protested in New Delhi over the indifference of police and judges to the high number of incidents of rape. Legislators are now scrambling to pass antirape reforms. They have far to go.

India?s conviction rate in rape cases is no more than 26 percent. And that?s just for reported rapes. In a key measure of official insensitivity to violence against woman, only 7 percent of police officers are women. And a 1996 survey of judges in India found that 68 percent of them said provocative clothing is an invitation to rape.

One of the best ways to deter rape is to make it easier for women to report it, especially in a patriarchal and traditional society like India. Yet in a survey of 57 countries, only 1 in 10 women who say they experienced a sexual assault actually reported it.

Studies show that the reporting of sex crimes by women increases if female police officers are available to rape victims. The main reason is that it helps lessen the shame and stigma often felt by a female rape victim. And it allows for more comfort and consoling of the innocent.

Up and down the justice system more women are needed to deal with female-related crimes. Worldwide, only 9 percent of police and 27 percent of judges are women.

Many countries have become models of reform in how to deal with rape. Brazil set up women-only police stations in 1985, a practice now common in Latin America. Countries from Fiji to Pakistan provide special legal advice to women to help them through the courts. In parts of Africa, judges specializing in sex-crime cases travel to remote rural areas. In many countries, health workers are given special training in how to treat sexual-abuse victims.

According to a 2011 United Nations report on women, the justice system in most countries still needs to change its practices toward women. East Timor, for example, has only one doctor trained to collect evidence in rape cases.

?Although there is further to go, laws on violence against women are beginning to establish the kind of clear mandates and procedures that are needed to drive implementation and improve women?s access to justice,? stated the UN report.

The certainty of punishment for rape and the care that is given to rape victims will help curb rape. Equality for women means lifting their fears of rape through equality of treatment by law enforcement officials.

Poor reading skills tied to risk of teen pregnancy

NEW YORK (Reuters Health) - Seventh grade girls who have trouble reading are more likely to get pregnant in high school than average or above-average readers, according to a new study from Philadelphia.

Researchers found that pattern stuck even after they took into account the girls' race and poverty in their neighborhoods - both of which are tied to teen pregnancy rates.

"We certainly know that social disadvantages definitely play a part in teen pregnancy risk, and certainly poor educational achievement is one of those factors," said Dr. Krishna Upadhya, a reproductive health and teen pregnancy researcher from Johns Hopkins Children's Center in Baltimore.

Poor academic skills may play into how teens see their future economic opportunities and influence the risks they take - even if those aren't conscious decisions, explained Upadhya, who wasn't involved in the new research.

Dr. Ian Bennett from the University of Pennsylvania and his colleagues looked up standardized test reading scores for 12,339 seventh grade girls from 92 different Philadelphia public schools and tracked them over the next six years.

During that period, 1,616 of the teenagers had a baby, including 201 that gave birth two or three times.

Hispanic and African American girls were more likely than white girls to get pregnant. But education appeared to play a role, as well.

Among girls who scored below average on their reading tests, 21 percent went on to have a baby as a teenager. That compared to 12 percent who had average scores and five percent of girls who scored above average on the standardized tests.

Once race and poverty were taken into consideration, girls with below-average reading skills were two and a half times more likely to have a baby than average-scoring girls, according to findings published in the journal Contraception.

Birth rates among girls ages 15 through 19 were at a record low in the U.S. in 2011 at 31 births for every 1,000 girls, according to the Centers for Disease Control and Prevention. But that rate is still much higher in minority and poorer girls than in white, well-off ones, researchers noted.

And in general, it's significantly higher than teen birth rates in other wealthy nations.

Teen pregnancies are a concern because young moms and their babies have more health problems and pregnancy-related complications, and girls who get pregnant are at higher risk of dropping out of school.

Upadhya said the answer to preventing teen pregnancy in less-educated girls isn't simply to add more sex ed to the curriculum.

"This is really about adolescent health and development more broadly, so it's really important for us to make sure that kids are in schools and in quality educational programs and that they have opportunities to grow and develop academically and vocationally," she told Reuters Health.

"That is just as important in preventing teen pregnancy as making sure they know where to get condoms."

South Africa: Mandela released from the hospital

JOHANNESBURG (AP) ? Former South African President Nelson Mandela was released Wednesday from the hospital after being treated for a lung infection and having gallstones removed, a government spokesman said.

The 94-year-old anti-apartheid icon will continue to receive medical care at home.

Mandela had been in the hospital since Dec. 8. In recent days, officials have said he was improving and in good spirits, but doctors have taken extraordinary care with his health because of his age.

Mandela was released Wednesday evening and will receive "home-based high care" at his residence in the Johannesburg neighborhood of Houghton until he fully recovers, said presidential spokesman Mac Maharaj.

"We thank the public and the media for the good wishes and for according Madiba and the family the necessary privacy," said Maharaj in a statement, using Mandela's clan name, a term of affection. The statement requested that Mandela's privacy continue to be respected "in order to allow for the best possible conditions for full recovery."

David Phetoe, a resident of the Johannesburg township of Soweto, reacted with joy when he heard that Mandela was no longer in a hospital.

"It's not always the case, when people offer great expectations, that those expectations are fulfilled," he said. "In this case, we say in the same tone, in the Christmas mood and in the Christmas season, let him stick around for a while!"

Mandela is revered around the world as a symbol of sacrifice and reconciliation, his legacy forged in the fight against apartheid, the system of white minority rule that imprisoned him for 27 years.

The Nobel laureate served one five-year term as president after South Africa's first democratic elections in 1994. Although the country today struggles with poverty and inequality, Mandela is widely credited with helping to avert race-driven chaos as South Africa emerged from apartheid.

South African President Jacob Zuma was among those who joined Mandela's wife, Graca Machel, and other family members in wishing a Merry Christmas to Mandela at his hospital bedside in Pretoria, the South African capital.

"I think he is an icon of hope and we are very excited" that Mandela is out of the hospital, said Sipho Sibiko, a Soweto resident. "I personally know that he is one of the people that inspired me. He inspires a lot of people and we are excited that he has been released. We wish him many more joyous years and good health."

Strange behavior: New study exposes living cells to synthetic protein

Dec. 27, 2012 ? One approach to understanding components in living organisms is to attempt to create them artificially, using principles of chemistry, engineering and genetics. A suite of powerful techniques -- collectively referred to as synthetic biology -- have been used to produce self-replicating molecules, artificial pathways in living systems and organisms bearing synthetic genomes.

In a new twist, John Chaput, a researcher at Arizona State University's Biodesign Institute and colleagues at the Department of Pharmacology, Midwestern University, Glendale, AZ have fabricated an artificial protein in the laboratory and examined the surprising ways living cells respond to it.

"If you take a protein that was created in a test tube and put it inside a cell, does it still function," Chaput asks. "Does the cell recognize it? Does the cell just chew it up and spit it out?" This unexplored area represents a new domain for synthetic biology and may ultimately lead to the development of novel therapeutic agents.

The research results, reported in the advanced online edition of the journal ACS Chemical Biology, describe a peculiar set of adaptations exhibited by Escherichia coli bacterial cells exposed to a synthetic protein, dubbed DX. Inside the cell, DX proteins bind with molecules of ATP, the energy source required by all biological entities.

"ATP is the energy currency of life," Chaput says. The phosphodiester bonds of ATP contain the energy necessary to drive reactions in living systems, giving up their stored energy when these bonds are chemically cleaved. The depletion of available intracellular ATP by DX binding disrupts normal metabolic activity in the cells, preventing them from dividing, (though they continue to grow).

After exposure to DX, the normally spherical E. coli bacteria develop into elongated filaments. Within the filamentous bacteria, dense intracellular lipid structures act to partition the cell at regular intervals along its length. These unusual structures, which the authors call endoliposomes, are an unprecedented phenomenon in such cells.

"Somewhere along the line of this filamentation, other processes begin to happen that we haven't fully understood at the genetic level, but we can see the results phenotypically," Chaput says. "These dense lipid structures are forming at very regular regions along the filamented cell and it looks like it could be a defense mechanism, allowing the cell to compartmentalize itself." This peculiar adaptation has never been observed in bacterial cells and appears unique for a single-celled organism.

Producing a synthetic protein like DX, which can mimic the elaborate folding characteristics of naturally occurring proteins and bind with a key metabolite like ATP is no easy task. As Chaput explains, a clever strategy known as mRNA display was used to produce, fine-tune and amplify synthetic proteins capable of binding ATP with high affinity and specificity, much as a naturally occurring ATP-binding protein would.

First, large libraries of random sequence peptides are formed from the four nucleic acids making up DNA, with each strand measuring around 80 nucleotides in length. These sequences are then transcribed into RNA with the help of an enzyme -- RNA polymerase. If a natural ribosome is then introduced, it attaches to the strand and reads the random sequence RNA as though it was a naturally-occurring RNA, generating a synthetic protein as it migrates along the strand. In this way, synthetic proteins based on random RNA sequences can be generated.

Exposing the batch of synthetic proteins to the target molecule and extracting those that bind can then select for ATP-binding proteins. But as Chaput explains, there's a problem: "The big question is how do you recover that genetic information? You can't reverse transcribe a protein back into DNA. You can't PCR amplify a protein. So we have to do all these molecular biology tricks."

The main trick involves an earlier step in the process. A molecular linker is chemically attached to the RNA templates, such that each RNA strand forms a bond with its newly translated protein. The mRNA-protein hybrids are exposed to selection targets (like ATP) over consecutive rounds of increasing stringency. After each round of selection, those library members that remain bound to the target are reverse-transcribed into cDNA (using their conveniently attached RNA messages), and then PCR amplified.

In the current study, E. coli cells exposed to DX transitioned into a filamentous form, which can occur naturally when such cells are subject to conditions of stress. The cells display low metabolic activity and limited cell division, presumably owing to their ATP-starved condition.

The study also examined the ability of E. coli to recover following DX exposure. The cells were found to enter a quiescent state known as viable but non-culturable (VBNC), meaning that they survived ATP sequestration and returned to their non-filamentous state after 48 hours, but lost their reproductive capacity. Further, this condition was difficult to reverse and seems to involve a fundamental reprogramming of the cell.

In an additional response to DX, the filamentous cells form previously undocumented structures, which the authors refer to as endoliposomes. These dense lipid concentrations, spanning the full width of the filamented E. coli, segment the cells into distinct compartments, giving the cells a stringbean-like appearance under the microscope.

The authors speculate that this adaptation may be an effort to maintain homeostasis in regions of the filamentous cell, which have essentially been walled off from the intrusion of ATP-depleting DX. They liken endoliposomes to the series of water-tight compartments found in submarines which are used to isolate damaged sections of the ship and speculate that DX-exposed cells are partitioning their genetic information into regions where it can be safely quarantined. Such self-compartmentalization is known to occur in some eukaryotic cells, but has not been previously observed in prokaryotes like E. coli.

The research indicates that there is still a great deal to learn about bacterial behavior and the repertoire of responses available when such cells encounter novel situations, such as an unfamiliar, synthetic protein. The study also notes that many infectious agents rely on a dormant state, (similar to the VBNC condition observed in the DX-exposed E. coli), to elude detection by antibiotics. A better understanding of the mechanisms driving this behavior could provide a new approach to targeting such pathogens.

The relative safety of E. coli as a model organism for study may provide a fruitful tool for more in-depth investigation of VBNC states in pathogenic organisms. Further, given ATP's central importance for living organisms, its suppression may provide another avenue for combating disease. One example would be an engineered bacteriophage capable of delivering DX genes to pathogenic organisms.

New York University biologists have identified how a vital protein is loaded by others into the centromere, the part of the chromosome that plays a significant role in cell division. Their findings shed new light on genome replication and may offer insights into the factors behind the production of abnormal numbers of chromosomes.

Their findings appear in the latest issue of the journal the Proceedings of the National Academy of Sciences.

The researchers focused on the organization and functioning of the centromere, which is responsible for chromosome segregationa process that ensures that replicating cells receive a complete copy of the genome. Disruption of this process can lead to the production of an abnormal number of chromosomesa condition evident in 90 percent of cancer cases.

To explore the mechanics of the centromere, the researchers examined fission yeast. This species of yeast is a model organism in cell biology because its chromosome replication and the regulation of its centromere are similar to that of humans.

In the PNAS study, the researchers focused on a protein, CENP-A, present in both humans and fission yeast. They specifically examined how it is incorporated into the centromere during cell division in order to better understand its role in this process.

Their results identified that a trio of proteinsDos1, Dos2, and Cdc20work together to assemble CENP-A at centromeres as they duplicate. They further observed that any disruption of this process subsequently places this vital protein outside of the centromerethereby preventing it from performing its role of ensuring proper chromosome segregation.

"CENP-A is the engineer of the centromere," explained Fei Li, an assistant professor in NYU's Department of Biology and the study's senior author. "Without this protein, the centromere simply can't function."

Li noted that many forms of cancer have been linked to malfunctioning CENP-A.

"Hopefully, these findings can contribute toward the development of improved strategies for the diagnosis and treatment of cancer," he added.

Lost in the reports and debates regarding Tim Tebow?s Wildcat tap out is the fact that the situation sparked the latest case of ESPN-on-ESPN crime.

Actually, it was more like an ESPN Battle Royal.

It started when Rich Cimini and Jane McManus of ESPNNewYork.com jointly reported on Sunday that Tebow asked to be omitted from the Wildcat package in Week 16 because the coaching staff had skipped over him when benching Mark Sanchez.? (You know, the same way the Broncos skipped over Brady Quinn when benching Kyle Orton in 2011.)

In an effort to control the damage, Tebow provided his version of the events to Adam Schefter of ESPN.? In exchange for the exclusive scoop, Schefter obviously had no choice but to pass along Tebow?s tale as he told it, without scrutiny or skepticism or cynicism.

And Tebow didn?t say that he had asked out of the Wildcat package, necessarily putting the spirit if not the letter of the two ESPN reports at odds.

But the conflict didn?t become obvious until Schefter, Merril Hoge, and Ron Jaworski appeared on the air to discuss the situation, via USAToday.com.? Schefter started by dutifully repeated what he had reported, without comment or opinion or editorial.

Enter Jaworski and Hoge, both of whom pressed Schefter for clarity as to the notion that Tebow told coach Rex Ryan that he didn?t want to play in the Wildcat package.? Schefter reiterated the guts of his report, skipping over the most important piece of information, apparently because either Schefter didn?t ask or Tebow didn?t tell.

?To me, it smells like three-day-old fish, OK?? Hoge said of Tebow?s story, which came only from Schefter?s report.? ?I think he?s phony as a three-dollar bill.? Because at the end of the day, what have I heard?? That he will do anything at any time.? You ask me to do it, I?ll do it.? And all of a sudden now that?s unacceptable?? That?s all of a sudden, ?Now I want to play quarterback or I?m not gonna play Wildcat?? . . . ? Tim Tebow, being the teammate he says he is, accepts that.? Because he says I?ll do anything for the team.? That?s all I?ve ever heard about him.? Well I think this sound shows really what he?s about.?

Jaworski then tried to suggest that Tebow never said he wouldn?t play Wildcat quarterback, citing derisively (and with air quotes) that it?s merely been ?reported? via ?sources.?? And in so doing, jumping off the top rope and landing on the work of Cimini and McManus.

Enter Schefter, who then explained that it was a ?culmination of a full season of frustration and disappointment,? and that ?somehow it?s morphed into ?I?m taking myself out.??

Hoge then made an observation that Schefter and Jaworski arguably ignored when subtly pile-driving the reporting of their colleagues, Cimini and McManus.? ?If you are for the team and that is what you do care about,? Hoge said, ?then guess what?? Whatever that coach makes, that decision, sure you can be upset, but you still do what you can for the team.? You don?t make a rift, you don?t sit there and argue.?

Next, Jaworski revisited the question of whether Tebow said what Cimini and McManus claim he said.? ?I want Tim Tebow, if this was said, to say on Tuesday, ?I told Rex Ryan I don?t want to take the Wildcat snaps,?? Jaworski said.? ?We?ve got a lot of hearsay here.?

And in that one swing, Jaworski again questioned the veracity of his colleagues? original report and indirectly chided Schefter for not asking the obvious follow-up questions when talking to Tebow.

Either way, it should be no surprise that the implosion of Tebow?s 2012 season created chaos at the network that was devoted to covering it.

Dead passenger found riding Berlin subway

BERLIN - A 65-year-old man thought to be sleeping while sitting upright on a Berlin underground train as it crisscrossed the German capital was actually dead, police said on Sunday.

"It's tragic," a Berlin police spokeswoman said. "We don't know how long he was sitting dead on the train nor do we know the exact cause of death yet. There are no indications of foul play. He seems to have died of natural causes."

The man was found in the U-8 underground train line that runs all night at the Weinmeisterstrasse station at 5:45 a.m. when a rail worker tried wake the man up by gently shaking him. Medics were called in but could only pronounce the man dead.

A preliminary investigation showed no indications of the man being murdered. A more detailed autopsy is planned for Monday.?

Firefighters ambushed by gunman while responding to house fire

A gunman set a trap and shot and killed two firefighters responding to an early morning blaze in Webster, N.Y., police officials said. Two other firefighters were also shot and are both listed in guarded condition at a local hospital.

"It does appear that it was a trap that was set for first responders, but the cause or reasons we don't have at this time," said Webster Police Chief Gerald Pickering as he described? the scene where shots were fired at West Webster firefighters when they arrived at 5:35 a.m. to battle the blaze along Lake Road. Webster is about 10 miles east of Rochester.

The apparent gunman was found dead at the scene, but it?s unclear if he was killed by? a self-inflicted gunshot or if it was from a weapon from police officers who were chasing him.

The victims were Mike Chiapperini, also a lieutenant and public information officer with the local police department, and Tomasz Kaczowka, Pickering said.

Chiapperini was described by Pickering as a lifelong firefighter who started with the department's explorer program and had about 20 years of experience. Kaczowka was a younger firefighter and was also a 911 dispatcher, he said.

West Webster firefighters Joseph Hofsetter and Theodore Scardino were seriously injured and are at Strong Memorial Hospital with gunshot wounds, a hospital spokeswoman said.? Scardino? has? injuries to his chest and lungs. Hofsetter was injured in the pelvis, the spokeswoman said at a media briefing.

An off-duty police officer from nearby Greece, N.Y.? John Ritter was also injured by shrapnel during the shooting, Pickering said.

Pickering said that one of the firefighters who survived made his way across a bridge to get to safety. The other three did not make it across, Pickering said. Police arrived and rescued the other three firefighters, but two were fatally shot, Pickering said.

"These are volunteers who get up in the middle of the night to fight fires. They don't expect to be shot and killed," a tearful Pickering said at the press conference.

The morning scene was described as chaotic as police and firefighters dealt with an immense blaze as well as gunshots,? local news station WHAM-TV? reports.

?I?m not aware of anything like this happening in Webster, obviously not a firefighter being fired upon,? Webster Fire Marshal Rob Boutillier told the Democrat and Chronicle.? Pickering described Webster as resort lakeside community that is quiet and usually peaceful.

There at least four houses that have been damaged by the fire along Lake Road, WHAM-TV reported. Firefighters had to leave the scene and stop battling the blazes while police secured the scene. They continue to battle the blaze.

Now that the whole terms of service fiasco is behind us, many of you called out Instagram as being one of the best photo filter apps available, not because of the number of features or the editing tools available for your photos, but because of the massive social network behind it. Attention goes where your friends are, and that's definitely the case for Instagram. The app does have a few editing tools, like the ability to rotate or apply color-correction to your photos before sharing, but Instagram's strength isn't in making your photos look better, it's in letting your personalize them and share them quickly.

Snapseed (iOS/Android, Free)

Snapseed, a photo free editor we love on iOS and that recently landed on Android, is the product of Google's recent acquisition of Nik Software, the company that originally built the app. Call it an Instagram competitor if you want, but Snapseed's focus is on making your photos look fantastic and putting high-quality editing tools in your pocket, not necessarily on being social (although you can do that too.) Snapseed comes loaded with photo filters and personalization tools so you can give your shots that sepia, old-timey look, but it goes further than that. You can tweak and edit entire photos, or just sections of your photo that you'd like to clean up, use the Tune Image feature to tweak everything about your shot, or just hit Auto Correct and let the app handle everything.

The app offers hundreds of photo filters, borders, and other tweaks you can apply to your photos as you take them or afterwards, complete with the ability to overlay multiple effects and filters, preview how the final product will look, and make subtle adjustments along the way. All in all, the app offers something like five million permutations of filters and borders, so you actually can create something unique. If you prefer not to fiddle with your photos in real-time, you can always save them, play with them later, then share them with your friends.

Our pick for the best camera app for iPhone, Camera+ does much much more than just let you customize your photos.
